General terms and conditions from March 5th, 2024

for deliveries and services from - Ralf Steinrücken ITecSoft, Parkstraße 34,
09120 Chemnitz - later referred to as R.S.ITecSoft.

§ 1 Validity
These general terms and conditions apply to all deliveries and services from R.S.ITecSoft, in particular to the sale of SOFTWARE PRODUCTS from this company to end users. All business transactions with R.S.ITecSoft are concluded exclusively on the basis of the general terms and conditions printed below, even if no specific reference is made to them. Differing conditions that R.S.ITecSoft does not expressly acknowledge in writing do not become part of the contract.

§ 2 Copyright
R.S.ITecSoft's SOFTWARE PRODUCTS are protected by copyright laws and international treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCTS are not sold but are licensed.

§ 3 TEST PERIOD
You may test the SOFTWARE PRODUCTS free of charge for 30 days and check whether they meet your requirements. If you want to continue to use the SOFTWARE PRODUCTS after the trial period has expired, you must purchase a license key.

§ 4 LICENSE RIGHTS
By purchasing one or more licenses for one of the SOFTWARE PRODUCTS you receive the following rights:
You may install and use one copy of the SOFTWARE PRODUCT on one or more computers. If you install the SOFTWARE PRODUCT on multiple computers or on a network server, you need a license for each user.

§ 5 Offers
Offers are always subject to change and non-binding. Orders and agreements only become binding with written confirmation from R.S.ITecSoft. Delivery and sending of our invoice also counts as order confirmation.
For online orders, the order confirmation sent by email is binding.

§ 6 Prices and Ordering
6.1 The prices are based on the price lists published by R.S.ITecSoft or written offers. The prices are binding for both parties if an order is executed at R.S.ITecSoft within the stipulated time frame with reference to the offering medium. Different prices can be negotiated under certain conditions.
6.2 Orders should preferably be carried out via the online shop. In German-speaking countries, R.S.ITecSoft also accepts orders in written form or by email.
6.3 An accepted order is considered a purchase contract and obliges the seller to deliver on time and free of defects and the buyer to pay on time.

§ 7 Delivery
7.1The delivery of a software product includes the object code of the software product and the license keys necessary for execution. The purchaser can download the object code from our homepage.
7.2Delivery normally takes place within 2 working days of order confirmation. If the delivery date is exceeded by more than 4 weeks, the client is entitled to withdraw from the contract.

§ 8 Payment
8.1If the agreed payment deadline for invoices is exceeded, R.S.ITecSoft is entitled to demand payment of interest at a rate of 4% above the currently valid discount rate of the Deutsche Bundesbank from the due date without warning.
8.2The purchaser is not entitled to resell, rent, pledge or transfer the reserved goods as security.

§ 9 Warranty
9.1 R.S.ITecSoft guarantees for six months that the software is suitable for the basic use intended in the accompanying material and publications and that guaranteed functions are available. R.S.ITecSoft does not guarantee that the software is suitable for the end user's purposes in every case, in particular that the software will function error-free with all third-party components, such as databases and hardware drivers.
9.2 If a function guaranteed in the accompanying material is not available or works incorrectly and it can be proven that operating errors, an error or the lack of a function or resource of the computer as well as all other hardware and software components required for use can be excluded , you can make claims within the warranty period. R.S.ITecSoft can, at its own discretion, carry out several attempts at repair within 4 weeks or refund the price paid by returning the product. If attempts at improvement fail within the specified period of time, the user can request a price refund or price reduction. The assertion of claims requires that the customer immediately report any deviations in the software from the supplied service description or the integrated help system.

§ 10 Liability
To the extent permitted by law, neither R.S.ITecSoft nor the sales partners are liable for direct or indirect damages, consequential damages, damages due to the impossibility of using the software and lost profits. In any case, liability is limited to the respective invoice value. Liability is limited to users who verifiably purchased this software directly from R.S.ITecSoft or an authorized dealer. If the software is resold, R.S.ITecSoft assumes no liability for any damage suffered by the recipient.

§ 11 Rights
The customer only acquires the right to use the purchased software product. When the software is installed, the license conditions are displayed and must be confirmed by the user in a legally binding manner.

§ 12 Support Services
If the offer on which the purchase of a contractual product is based does not contain any provisions regarding support services, the purchase of the contractual product does not include any entitlement to support.

§ 13 Google contacts
Our application "CTI Client Professional" (App) allows you to integrate your Google contacts as a phone book. This allows you to search, create and edit your Google contacts in the App.
The "CTI Client Professional" use and transfer to any other app of information received from Google APIs will adhere to Google API Services User Data Policy, including the Limited Use requirements.

§ 14 Severability clause
The effectiveness of the remaining provisions will not be affected by the possible invalidity of one or more provisions.
